Field of application:
Any agreement between the supplier Themsen Health APS registration number DK43448641, (hereafter The Supplier) and the Customer is subject to the following terms and conditions.

The agreement:
The client accepts to purchase the quantity of goods according to the order confirmation, to the price stated.

Delivery:
The products are delivered within 3-4 working days, after the Customer has confirmed the order.

Price and payment conditions:
The price and payment conditions are fixed. Payment conditions are net cash 8 days from delivery date, unless otherwise stated in the Supplier’s order confirmation. The prices are mentioned in the order confirmation, and are in SEK exclusive VAT. The prices are exclusive delivery costs, which will vary depending on the size of the order. Delivery costs are also mentioned in the Suppliers  order confirmation.

The Supplier offers 30 days payment from delivery date via Omniveta Finans – this requires first a positive credit rating of the Customer at Omniveta Finans.

Late payments are subject to a reminder fee of 125 SEK exclusive VAT per reminder plus an additional interest fee of 2% per month. If the Customer still does not pay, the Supplier is entitled to send the due invoice to a debt collecting firm, according to the rules of debt collecting. If the Customer goes bankrupt or enter a suspension of payments, the Supplier is entitled to stop any further deliveries of goods that have not yet been delivered. All prices are recommended prices, and the Supplier take precautions for changes and mistakes in prices.

Precautions for price adjustments for annual contracts:
For the Clients who enters an annual contract with fixed deliveries of gloves over a period of 12 months, the Supplier is entitled to adjust the price every 3 months, due to the extraordinary situation with rising energy prices, inflation and war in Ukraine.

Property conditions: 
Delivery is from our stock, unless written agreed and confirmed from both parties.

The responsibility of the goods exceeds to the buyer at delivery. The products remain the property of the Supplier, until the Buyer has paid for the goods.

Delays: 
The Supplier draws attention to the risk of delayed delivery due to the extraordinary situation on the market currently, with war in Ukraine. The Supplier disclaims any responsibilty due to delayed delivery. Delayed delivery of the products does not entitle the Customer to cancel the order.

Investigation and complaint duty:
If the Customer wants to plead defects or default of the goods delivered, the Customer obliged to place a written complaint immediately and within 2 working days from delivery, to be sent on mail to info@remove-this.themsenhealth.remove-this.dk.

If the Customer does not within 2 working days from delivery plead defects or default of the goods delivered by mail to the Supplier, the Customer’s right to plead defects or default of the goods expires.

Return delivery of goods: 
Any goods delivered to the Customer are only to be returned after written agreement between the Customer and the Supplier, and only if the product is not used and the packaging is not broken.

Product liability:
The Supplier is not liable for any

Storage:
The nitrile gloves are to be stored at a dry and frost-free place. As nitril gloves are made of organic materiale, the quality of the gloves can be affected by temperature fluctuations, and must be stored at a temperature between 10-39 degrees Celsius. The nitrile gloves are delivered in cartons, with 10 boxes in each, where the boxes are placed uprigt inside the cartons. When delivered, the cartons are to be stored on the side, so that the individual boxes are not standing upright, as the gravity over time can affect how compressed the gloves will become inside the box by long storage time. NOTE: This means that the cartons are to be stored with the arrows printed on the side of the carton horizontally, not upright. In the case of complaints, the Customer must document how the nitrile gloves have been stored.

Any dispute between the parties which has occurred directly or indirectly on the agreed contract is to be settled after Danish Court, with The Copenhagen District Court as venu
